2. The service
DIANO is provided as software-as-a-service. Your subscription includes access to the modules of your selected plan, secure cloud hosting of your records, and standard support and maintenance. We may improve, change or add features from time to time; we will not materially reduce the core functionality of a paid plan during a billing period without notice.
3. Accounts and users
- You must provide accurate registration details and keep them up to date.
- You are responsible for all activity under your workspace and for keeping user credentials confidential.
- Plan limits (such as the number of users) apply as described for the plan you select.
- You must notify us promptly at info@diale.co.za of any suspected unauthorised access.
4. Fees, billing and payment
- Plan prices are in South African Rand and include VAT at 15%. A VAT tax invoice is issued for every payment.
- Subscriptions are billed monthly in advance on the 1st day of each month through Payfast. Joining mid-month is charged pro-rata for the remaining days of that month (amounts under R5.00, or fewer than 3 remaining days, are waived).
- Subscriptions renew automatically each month until cancelled in line with our Cancellation Policy.
- If a payment fails you will have a 7-day grace period with full access. After that, the workspace becomes read-only (view and export only) until the outstanding amount is paid.
- Upgrades take effect once payment is confirmed; downgrades take effect from the next billing date.
- We will give at least 30 days’ written notice of any price change. Card details are processed by Payfast; we do not store them.
5. Refunds and cancellation
Refunds and cancellations are governed by our Refund Policy and Cancellation Policy, which form part of these Terms.
6. Your data
- You retain ownership of all business data you capture in DIANO. We process it only to provide the service, as set out in our Privacy Policy.
- You are responsible for the lawfulness and accuracy of the data you capture, including personal information about your own customers and suppliers.
- You may export your records at any time, including while the workspace is read-only.
7. Acceptable use
You may not use DIANO for unlawful purposes, to infringe the rights of others, to attempt to gain unauthorised access to any system or another customer’s data, to interfere with the platform’s operation, or to resell access without our written consent.
8. Availability and support
We take reasonable steps to keep DIANO available and secure, but do not guarantee uninterrupted or error-free service. Planned maintenance will, where practical, be scheduled outside South African business hours. Support is available via info@diale.co.za and Tel: 087 265 3889.
9. Intellectual property
All rights in the DIANO software, design and documentation remain with DIALE Consulting. You receive a non-exclusive, non-transferable right to use the service for your internal business purposes during your subscription.
10. Limitation of liability
To the extent permitted by law, DIALE Consulting is not liable for indirect or consequential loss, including loss of profit. Our total liability in connection with the service is limited to the subscription fees you paid in the three (3) months before the event giving rise to the claim. Nothing in these Terms limits any rights you have under the Consumer Protection Act 68 of 2008 or the Electronic Communications and Transactions Act 25 of 2002 that cannot lawfully be excluded.
11. Suspension and termination
We may suspend or terminate access for material breach of these Terms, non-payment after the grace period, or unlawful use, with notice where reasonably possible. You may terminate at any time by cancelling your subscription.
12. General
- These Terms are governed by the laws of the Republic of South Africa, and the courts of Gauteng have jurisdiction.
- We may update these Terms and will notify customers of material changes by email at least 30 days before they take effect.
- Notices to us must be sent to info@diale.co.za; notices to you will be sent to the email address on your account.
